These Terms and Conditions (“Terms”) govern your use of the website located at godshalls.com (the “Site”) and your purchase of products from Godshall’s Quality Meats (“we,” “us,” or “our”). By accessing or using the Site and purchasing Products, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or place an order.

1. Interpretation and Definitions

In these Terms, unless the context otherwise requires, words importing the singular shall include the plural and vice versa.

We endeavor to provide accurate product descriptions and images; however, we do not warrant that such descriptions or images are complete, current, or error-free.

3.2 Order Acceptance
We reserve the right, in our sole discretion, to accept or decline any order for any reason, including but not limited to product availability, errors in pricing or product information, or suspicion of fraud.

3.3 Perishability
Our Products are perishable and require temperature-controlled shipping and handling. Due to the nature of these Products:

• All sales are final, and Products are not eligible for return or exchange for safety reasons.
• You are responsible for promptly receiving shipments and ensuring proper storage upon delivery.
• We disclaim liability for spoilage or damages resulting from failure to receive shipments or incorrect delivery information.

3.4 Food Safety and Health Disclaimer
Our Products must be handled, stored, and prepared in strict accordance with all provided instructions and applicable food safety guidelines. Failure to do so may result in serious health risks, including foodborne illness.

By purchasing our Products, you acknowledge and accept these risks and agree that Godshall’s Quality Meats disclaims all liability for any illness, injury, or damages resulting from improper handling, storage, preparation, or consumption of the Products.

If you have food allergies, dietary restrictions, or health concerns, you assume full responsibility for reviewing all product information prior to purchase. We make no warranties regarding allergen content beyond what is disclosed and disclaim liability for any adverse reactions.

4. Pricing and Payment

All prices are listed in U.S. dollars and are subject to change without prior notice.
Payment must be received in full before orders are processed.
Accepted payment methods include major credit cards.

4.1 Promotions and Discounts

From time to time, Godshall’s Quality Meats may offer promotional codes, discounts, or limited-time offers (“Promotions”) through our Site, email communications, or authorized partners. By redeeming or participating in any Promotion, you agree to the following terms:

a. Eligibility
Promotions may be subject to product availability, order minimums, or other qualifying conditions. Promotions may be offered to specific customer segments and are valid only for orders placed within the United States.

b. Redemption
Promo codes must be entered at checkout before finalizing your purchase. Only one promo code may be used per order unless explicitly stated otherwise. Promotions cannot be applied to past orders and have no cash value.

c. Exclusions
Unless specified, Promotions do not apply to taxes, shipping fees, or excluded products. Some items may be exempt from promotional pricing due to availability or regulatory constraints.

d. Expiration and Changes
All Promotions have a stated expiration date and may be modified or canceled at any time without prior notice. We reserve the right to deny or cancel orders that use a Promotion in a manner inconsistent with these Terms or in cases of suspected fraud or misuse.

e. Errors
We are not responsible for technical, typographical, or system errors related to Promotions. In such instances, we reserve the right to correct the issue and adjust or cancel affected orders.

5. Shipping and Delivery

5.1 Geographic Limitations
We only ship within the contiguous United States.

5.2 Risk of Loss
Risk of loss and title for Products pass to you upon delivery to the carrier. We are not responsible for delays, losses, or damages incurred during shipping.

5.3 Tracking
Tracking information will be provided once the order ships. It is your responsibility to monitor shipments and ensure timely receipt.

6. Returns and Refunds

Due to the perishable nature of our Products, all sales are final. If you receive an incorrect, damaged, or spoiled item, please email us at onlineorders@godshalls.com within 24 hours of delivery with your order details and photographic evidence. We may, at our sole discretion, offer a refund or replacement.

7. Intellectual Property

All content on the Site, including text, graphics, logos, images, and software, is the property of Godshall’s Quality Meats, Inc or its licensors and is protected by U.S. intellectual property laws. No content may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed without our express written consent.

8. Prohibited Uses

You agree not to use the Site for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Site’s functionality or interfere with others’ use.

9. Disclaimer of Warranties

The Site and Products are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Godshall’s Quality Meats shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or purchase of Products, including but not limited to:

• Allergic reactions, dietary sensitivities, or any health-related issues arising from the use or consumption of our Products
• Improper storage, handling, or preparation of Products after delivery
• Delays or failures in delivery caused by shipping carriers, weather conditions, or any other events beyond our reasonable control
• Loss of profits, revenue, data, or business interruption

Our total liability for any claim, regardless of cause or theory of liability, shall not exceed the amount paid by you for the affected Product(s).

11. Arbitration and Waiver

11.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Site, or your purchase of Products, shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or by another arbitration provider as mutually agreed. Arbitration may be conducted virtually or in a location within the United States convenient to you.

11.2 Waiver of Jury Trial
By agreeing to these Terms, you and Godshall’s Quality Meats waive any right to a trial by jury.

11.3 Waiver of Class and Collective Actions
All claims must be brought on an individual basis only. You and Godshall’s expressly waive any right to participate in a class, consolidated, or representative action, including class arbitration or collective actions. Should a court or arbitrator find this waiver unenforceable, the entire arbitration agreement shall be deemed void.

11.4 Exceptions
Nothing in this section shall prevent either party from pursuing claims in small claims court or seeking injunctive or equitable relief related to intellectual property rights in a court of competent jurisdiction.

11.5 Notice and Opportunity to Resolve
Prior to commencing arbitration, you agree to notify us of the nature of your dispute at onlineorders@godshalls.com and allow us thirty (30) days to attempt to resolve the issue amicably.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law principles.

13. Changes to Terms

We reserve the right to amend or update these Terms at any time by posting the revised Terms on the Site. Your continued use of the Site after such changes constitutes your acceptance of the updated Terms.
